Terms of Service

1. Acceptance of Terms

By accessing our website or engaging DigitBee's services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our website or services.

2. Services

DigitBee provides digital marketing, growth system design, performance marketing, organic growth, web and conversion, and AI automation services. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement or Proposal signed between the parties.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Client Responsibilities

To enable effective delivery of services, you agree to:

• Provide accurate, complete, and timely information, access, and approvals required for service delivery
• Ensure all content, materials, and assets provided to us are owned by you or used with appropriate permissions
• Designate a primary point of contact for all communications
• Respond to requests for feedback or approvals within agreed timelines
• Maintain sufficient ad budget in connected advertising accounts where applicable

4. Payment Terms

• Fees are as specified in the signed Service Agreement or Proposal
• Invoices are due within 7 days of issue unless otherwise agreed in writing
• Retainer fees are payable in advance at the start of each billing cycle
• Late payments beyond 14 days may result in suspension of services
• All fees are exclusive of applicable taxes including GST

5. Intellectual Property

Our Materials

All proprietary methodologies, frameworks, tools, templates, and processes developed by DigitBee remain our intellectual property. Engagement with our services does not transfer ownership of these assets.

Deliverables

Upon full payment of all fees, we assign ownership of client-specific deliverables (ad creatives, copy, reports) to you. Generic frameworks and templates remain ours.

Your Materials

You retain ownership of all materials, data, and assets you provide to us. You grant us a limited licence to use these materials solely for the purpose of delivering the agreed services.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination of the service agreement for a period of 2 years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

7. Results and Performance

Digital marketing outcomes depend on numerous factors outside our direct control — market conditions, platform algorithm changes, ad budget, product quality, and competitive activity. We do not guarantee specific results, rankings, leads, or revenue unless explicitly stated in a signed agreement. Our commitment is to apply best-practice methodology, continuous optimisation, and full transparency in reporting.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Stackerlog Holdings Private Limited shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of revenue, profit, data, or business opportunity
• Damages arising from third-party platform changes, outages, or policy violations
• Any amount exceeding the total fees paid by you in the 3 months preceding the claim

9. Termination

• Either party may terminate a service engagement with 30 days written notice
• We may terminate immediately in cases of material breach, non-payment, or conduct harmful to our reputation
• Upon termination, all fees due for work completed remain payable
• We will return your assets and data within 14 days of termination

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Kozhikode, Kerala, India.

11. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated with 14 days notice. Continued use of our services after that period constitutes acceptance.
